Disclosure Policy

1. Our Standards

We shall promptly disclose information based on transparency, fairness and continuity according to the Financial Instruments and Exchange Act and various other laws/ordinances and the Rules on Timely Disclosure of Corporate Information by Issuers of Listed Securities (hereinafter “Timely Disclosure Rules”) stipulated by the Tokyo Stock Exchange.
In addition, we shall proactively and fairly disclose information we deem to be important or useful for shareholders and investors to understand our company even in the event that information does not apply to the various laws/ordinances and the Timely Disclosure Rules.
Moreover, we shall not disclose personal information, customer information and information that infringes upon the rights of related parties.

2. Method of Information Disclosure

We shall disclose the information stipulated in the Timely Disclosure Rules through the Timely Disclosure Network (TDnet) provided by the Tokyo Stock Exchange in line with those rules. At the same time, we shall also promptly publish this information on our website after disclosing it through TDnet. We shall disclose information we deem to be important or useful as fairly and as widely as possible such as by publishing it on our website even if it does not apply to the Timely Disclosure Rules.

3. To Prevent Insider Trading

We have established relevant internal rules and strive to ensure all of our officers and employees know and understand them to prevent insider trading. We will also prevent insider trading by appropriately managing information relating to important facts that may have an impact on investment decisions and by promptly disclosing this information according to the various laws/ordinances and the Timely Disclosure Rules.

4. Handling of Guidance and Forecasts

Statements other than those relating to past or present facts in the earnings forecasts, future outlooks, strategies, targets and other information we disclose are those relating to the future outlook. They are based on information currently available to us and plans, expectations and judgments based on certain assumptions we deem to be reasonable. Accordingly, there is a possibility that the earnings results and other information we actually announce may differ from the earnings forecasts and other information we have disclosed due to the economic climate, market trends, various systems and a variety of other fluctuation factors and uncertainties.

5. Period of Silence

We shall establish a period of silence for three weeks immediately before the announcement of our quarterly and full-year financial results. This prevents leakage of our financial information and ensures fairness of our disclosure. We will not answer questions or provide comments relating to our financial results and earnings forecasts during this period. However, in the event we expect that our earnings forecast will deviate significantly during this period, we shall announce that as appropriate according to the Timely Disclosure Rules.
